Indemnification

You agree to defend, indemnify and hold harmless Screened and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right.

Arbitration Agreement

You and Screened agree that any claim or dispute at law or equity that has arisen or may arise between us relating in any way to this Agreement, your use of or access to the Services will be resolved through binding arbitration. You and we agree to submit the dispute to a single arbitrator under the then-current Commercial Arbitration Rules of the American Arbitration Association (AAA).

Class Action Waiver: You and we agree that each of us may bring a dispute against the other only on our own behalf, and not on behalf of any other person or entity, or a class of persons or entities. You and we agree not to participate in a class action, a class-wide arbitration, or consolidated claims.

Applicable Law

You agree that the laws of the State of Delaware, without regard to principles of conflict of laws, will govern this Agreement and any claim or dispute that has arisen or may arise between you and us.

Modifications to Agreement

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of this Agreement at any time without notice to you. Changes will be effective when posted. You agree to review this Agreement periodically for changes. Your continued use of the Services after any such changes constitutes your acceptance of the new terms.
